Welcome to Meridian Protocol ("the Platform" or "we"). These Terms of Service ("this Agreement") constitute a legally binding agreement between you ("User" or "you") and the Platform regarding your registration, login, and use of the Platform's services. Please read this Agreement carefully. By clicking "Agree", registering an account, or actually using the Services, you indicate that you have fully read, understood, and accepted the entire content of this Agreement.

The Platform relies on large AI models to provide SaaS services such as business document generation, compliance review, and image/video synthesis. You must provide true, accurate, and complete information when registering an account. You are fully legally responsible for all activities that occur under your account. Please keep your password secure and notify us immediately of any unauthorized use of your account. You may not transfer, sell, rent, or lend your account to any third party.

All services and AI-generated content provided by Meridian Protocol (including but not limited to legal contract drafts, compliance risk radars, financial analysis reports, business plans, collectively "Outputs") are for informational purposes only and do not constitute legal, financial, tax, medical, or other professional advice. The Platform is not a law firm, accounting firm, or financial advisory institution, nor does it provide any chartered professional agency services. Given the probabilistic nature of AI and machine learning, we cannot guarantee the absolute accuracy, completeness, legality, or timeliness of the Outputs. You must independently evaluate the suitability of the generated content and seek independent review from qualified professionals (e.g., licensed attorneys, CPAs) before making any decisions that may have significant legal or economic impacts. Meridian Protocol shall not be liable for any direct or indirect losses, legal disputes, or administrative penalties arising from your reliance on, use, or dissemination of the content generated by the Platform.

• 4.1 Platform Rights: All underlying technologies, software code, UI design, algorithmic models, and proprietary content of the Platform are owned by Meridian Protocol. • 4.2 User Rights: Subject to your compliance with this Agreement and applicable laws, you retain ownership of the content you input into the Platform (Input). To the maximum extent permitted by law, you own the content generated by the Platform based on your input (Output), and you may use it for commercial or non-commercial purposes. • 4.3 Infringement Disclaimer: You warrant that your input content does not infringe upon the intellectual property rights, privacy rights, or trade secrets of any third party. You shall bear full legal responsibility for any infringement claims arising from your input content. • 4.4 Output Similarity: Due to the nature of artificial intelligence, the content generated by the Platform may not be unique, and other users may generate identical or similar content. Your ownership of the generated content does not extend to similar content generated by other users. You may not claim that similar content generated by other users through the Platform infringes your copyright.

Certain advanced features of the Platform require the consumption of compute credits. Credit consumption is automatically deducted based on the AI model tier you select (e.g., Flash / Pro) and the operation type (e.g., text, image, video) at the multiplier rates published on the Platform. You can acquire credits through subscription plans or separate top-ups. All fees are settled in USD or other designated currencies via a third-party payment platform (Stripe). No Refund Policy: Unless explicitly required by law, all paid subscription fees and purchased compute credits are non-refundable. If you cancel your subscription, you may continue to use your allocated credits until the end of the current billing cycle, after which any unused subscription credits will expire. If your account is banned for violating this Agreement, all remaining benefits in your account will be immediately terminated without compensation.

You agree to strictly comply with applicable laws and regulations when using the Platform. You absolutely may not use the Platform to: generate, create, or disseminate content that endangers national security, disrupts social stability, or promotes terrorism, violence, pornography, or hate speech; generate documents or code for illegal commercial activities such as money laundering, fraud, insider trading, or cyberattacks; infringe upon the intellectual property rights, trade secrets, or personal privacy of others; use automated scripts, crawlers, or bots to scrape Platform data at high frequency or maliciously consume system resources; attempt to reverse engineer, decompile, or crack the underlying models and algorithms of the Platform. Content Interception and Review: The Platform features built-in multi-layer content security guardrails. We reserve the right to conduct compliance scans on your inputs and outputs via automated algorithms. If the system detects high-risk violation patterns, we reserve the right to immediately intercept the generation request, block the relevant content, and, depending on the severity, restrict, freeze, or permanently terminate your account without any liability for breach of contract. We reserve the right to report illegal activities to relevant law enforcement agencies.

• 7.1 The Platform services are provided on an "As Is" and "As Available" basis. We make no express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service. • 7.2 To the maximum extent permitted by law, Meridian Protocol and its affiliates, officers, employees, or suppliers shall not be liable for any indirect, punitive, incidental, special, or consequential damages (including but not limited to loss of profits, data loss, business interruption) arising from the use or inability to use the Services, even if we have been advised of the possibility of such damages. • 7.3 In no event shall our total cumulative liability to you exceed the total amount of service fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. • 7.4 Beta Services and Modifications: The Platform may offer features designated as "Beta", "Preview", or "Early Access". These features are provided "as-is", may be unstable, and are not subject to any Service Level Agreement (SLA). We reserve the right to modify, suspend, or permanently discontinue any feature of the Platform (including changing underlying AI model providers) at any time without prior notice. We shall not be liable for any inconvenience or loss caused by feature modifications or upstream AI service interruptions.

You agree to indemnify and hold harmless Meridian Protocol and its affiliates from and against any and all losses (including but not limited to reasonable attorneys' fees, litigation costs, and settlement amounts) arising from any third-party claims, lawsuits, or administrative penalties resulting from your breach of this Agreement, violation of applicable laws, or infringement of third-party rights by your input content.

We reserve the right to modify this Agreement at any time. The modified Agreement will take effect upon posting on this website. If you continue to use the Services after the modifications take effect, you are deemed to have accepted the modified terms. If you violate any provision of this Agreement, we reserve the right to unilaterally suspend or terminate your services and cancel your account without prior notice.

The formation, execution, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region, China, excluding the application of conflict of law principles. Any dispute arising from this Agreement or the use of the Services shall first be resolved through friendly negotiation; if negotiation fails, either party shall have the right to submit the dispute to the competent courts of the Hong Kong Special Administrative Region, China for litigation.

You represent and warrant that you and your organization are not located in any country or region subject to comprehensive trade sanctions by the UN, US, EU, or China, nor are you listed on any restricted party list (e.g., the US OFAC SDN List). You may not use the Platform services for any end-use prohibited by applicable export control laws (including but not limited to the development of nuclear, missile, or chemical/biological weapons). If you violate this clause, we reserve the right to immediately terminate services and report to relevant regulatory authorities.

The headings in this Agreement are for convenience of reading only and do not affect the actual meaning or interpretation of the clauses. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. Our failure or delay in exercising any right under this Agreement shall not constitute a waiver of that right.
